1. About these terms
These terms and conditions (the Terms) apply to the Terrapin website and to every Terrapin platform, suite and app (the Services) offered by Terrapin Software Private Limited (Terrapin, we, us).
By using the website, a free plan or a paid subscription, you agree to these Terms on behalf of yourself and the business you represent (the Customer, you). If a signed purchase agreement, proposal or sales order says something different, that document prevails for the matters it covers.
2. Eligibility
The Services are for business use. To subscribe you must be at least 18 years old, authorised to act for your business, and give accurate details about yourself and your business.
Subscription eligibility is subject to these Terms. Showing interest on the website does not make you eligible for, or entitle you to, any subscription, price or plan. Terrapin may accept or decline any request for a subscription, including where details cannot be verified, where the request falls outside the plan described, or where it would breach law or these Terms.
3. Website information and prices
Product descriptions, prices, estimates and calculators on the website are indicative and for information only. They are not an offer and may change without notice. Prices exclude taxes unless stated.
Showing interest, filling a form or using a pricing or ROI calculator is not an order and does not guarantee that a product will be sold at the price shown. The final scope and price are set in the proposal after the requirement discussion and confirmed in the purchase agreement.
4. Subscriptions and ordering
Paid subscriptions follow the subscription process: requirement discussion, proposal, purchase agreement, sales order, proforma invoice, payment, payment receipt and tax invoice.
A subscription starts on the start date in the sales order, once the purchase agreement is signed and payment is received. Subscriptions are annual unless the agreement says otherwise. There is no monthly plan for apps.
5. Free plans
Some apps and the Billing suite have a free plan, limited to the users, locations and features described for that plan (for example, 2 users at one location). Free plans are offered as they are, without service levels.
Using more users, locations or features than a free plan allows needs a paid plan. Terrapin may change, limit or withdraw a free plan with reasonable notice, and may close free accounts that are inactive for a long period after notice.
6. Fees, taxes and payment
- Subscription fees are payable annually in advance, as set out in the sales order and proforma invoice.
- Goods and Services Tax (GST) and other applicable taxes are charged in addition to the fees.
- Third-party usage, such as WhatsApp, SMS, email, voice minutes, AI model usage, payment-gateway, courier, marketplace and domain fees, is not included and is billed at actuals by the provider or by Terrapin where stated.
- Implementation and other services are charged as set out in the proposal. Website ranges are estimates only.
- If payment is late, Terrapin may, after notice, suspend access until payment is received.
7. Users, locations and fair use
Each subscription covers the number of users and locations in the sales order. User accounts are for named individuals and must not be shared. Additional users or locations are added through a new sales order and invoice. Plans with fair-use allowances (for example AI usage) are subject to those allowances.
8. Implementation and support
Setup is self-service unless implementation by Terrapin is included in the proposal. Implementation scope, deliverables and timelines are those in the proposal or agreement; work outside that scope is a change request, quoted separately. Support is provided through the channels and hours stated in the agreement.
9. Third-party services
Some features rely on third-party services, such as the WhatsApp Business API, payment gateways, courier partners, marketplaces, email and telephony providers and AI model providers. Their own terms apply to your use of them. Terrapin is not responsible for their availability, pricing or actions.
10. AI features
AI agents and AI-generated content can be inaccurate or incomplete. You are responsible for reviewing AI output and for decisions and communications made using the Services, including approving actions where approvals are configured. You must have the consents needed to contact people through the Services.
11. Your data and privacy
You own the data you put into the Services. Terrapin processes it only to provide and support the Services, as described in the agreement and our privacy practices, and in line with applicable law, including India's Digital Personal Data Protection Act, 2023. Terrapin uses reasonable technical and organisational measures to protect your data.
When a subscription ends, you can export your data for the period stated in the agreement, after which it may be deleted. Information you share on the website forms is used to respond to your enquiry and follow up on your interest in Terrapin.
12. Acceptable use
- Do not use the Services to send spam or unsolicited messages, or messages that break WhatsApp, telecom or email rules.
- Do not upload unlawful, infringing or harmful content, or try to break, probe or overload the Services.
- Do not resell, copy or reverse-engineer the Services, or use them to build a competing product.
- Terrapin may suspend access that breaches these rules, with notice where practical.
13. Intellectual property
Terrapin and its licensors own the Services, software, designs, documentation and brand. Your subscription gives you a limited, non-exclusive, non-transferable right to use the Services for your business during the subscription term. Feedback you give may be used to improve the Services.
14. Confidentiality
Each party keeps the other's confidential information confidential and uses it only for the purpose of the subscription, except where disclosure is required by law.
15. Term, renewal and termination
Subscriptions run for the term in the sales order and renew only through a renewal proposal or sales order. Either party may terminate for material breach that is not fixed within 30 days of written notice. Terrapin may suspend or terminate access immediately where required by law or to prevent harm to the Services or other customers.
16. Refunds
Subscription fees are non-refundable once the subscription has started, except where the purchase agreement says otherwise or the law requires.
17. Warranties and liability
The Services are provided with reasonable skill and care. Except as stated in the agreement, they are provided without other warranties, express or implied.
To the extent the law allows, Terrapin is not liable for indirect, incidental or consequential losses, or for loss of profit, revenue or data, and its total liability in any 12 months is limited to the fees you paid for the affected Service in those 12 months.
18. Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to settle any dispute through discussion; otherwise the courts at Pune, Maharashtra have exclusive jurisdiction.
19. Changes to these terms
Terrapin may update these Terms. The updated version applies from the date shown at the top of this page; for existing subscriptions, material changes apply from the next renewal unless the law requires otherwise.
